TERMS OF SERVICES

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Cozy Colive Concept Pvt. Ltd (“we,” “us” or “our”), concerning your access to and use of the www.cozystay.app website as well as any other media form, media channel, mobile website or linked, or otherwise connected thereto (collectively, the “Platform”).

By using the service you are indicating that you have read these terms of use and our privacy policy (as applicable) (collectively the “Agreement”) and you understand, and you consent to be bound by, all the terms and conditions of this agreement. These terms of use set forth your rights and obligation with respect to your use of any version of the Cozy Stay service. If you do not agree to these terms of use and the terms of the agreement, you should not use the Cozy Stay service.

It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the platform after the date such revised Terms and Conditions are posted. The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.


Intellectual Property:


Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of India, foreign jurisdictions, and international conventions.

The Content and the Marks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms and Conditions, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

You acknowledge that we or our licensors retain all proprietary rights. Title and interest in the Services, our name, logo or other markers, and any related intellectual property rights, including, without limitation all modifications, enhancements, derivative works, and upgrades thereto. You agree that you will not use or register any trademark, service mark, business name, domain name, or social media account name or handle which incorporates in whole or in part proprietary material or similar to any of these.


How The Website, Application, And Service Work:


The Site, Application, and Services can be used to facilitate the listing and booking of residential and other properties ("Accommodations"). Such Accommodations are included in Listings on the Site, Application, and Services by Hosts. You may view Listings as an unregistered visitor to the Site, Application, and Services; however, if you wish to book an Accommodation or create a Listing, you must first register to create a Cozy Stay Account (defined below). As stated above, Cozy Stay makes available a platform or marketplace with related technology for Guests and Hosts to meet online and arrange for bookings of Accommodations. Cozy Stay is not an owner or operator of properties, including, but not limited to, paying guest accommodations, hotel rooms, motel rooms, other lodgings or Accommodations, nor is it a provider of properties, including, but not limited to, paying guest Accommodations, hotel rooms, motel rooms, other lodgings or Accommodations, and Cozy Stay does not own, sell, resell, furnish, provide, rent, re-rent, manage and/or control properties, including, but not limited to, hotel rooms, motel rooms, other lodgings or Accommodations or transportation or travel services and Cozy Stay role is solely to facilitate the availability of the Site, Application, and Services. PLEASE NOTE THAT, AS STATED ABOVE, THE SITE, APPLICATION, AND SERVICES ARE INTENDED TO BE USED TO FACILITATE THE BOOKING OF ACCOMMODATIONS. COZY STAY CANNOT AND DOES NOT CONTROL THE CONTENT CONTAINED IN ANY LISTINGS AND THE CONDITION, LEGALITY, OR SUITABILITY OF ANY ACCOMMODATIONS. COZY STAY IS NOT RESPONSIBLE FOR AND DISCLAIMS ANY AND ALL LIABILITY RELATED TO ANY AND ALL LISTINGS AND ACCOMMODATIONS. ACCORDINGLY, ANY BOOKINGS WILL BE MADE AT THE GUEST’S OWN RISK.


Rent Policy


As new Cozy Stay users, it is our responsibility to make you aware of the rent payment procedure. All users agree that the rent payment must be done for a minimum of 30 days before joining the property. Whichever plan the user wishes to choose, a minimum of 1 month's rent is to be paid.

  1. Its simpler than ever to pay rent from the comfort of your Cozy room. The rent for your room can be paid directly through the Cozy Stay web application via net banking, e wallet, credit card, debit card or any other mode of currency except for cash and it must be done by the 1st of every month.

  2. The user, through the acceptance of these terms and conditions is agreeable to the rent calculation mechanism on a per-day basis as per a specific plan and shall be calculated from the 1st to the last day of the month or starting from the joining date whichever is earlier and an accumulated rate is compiled. Accrued or compiled rent is to be paid latest by 5th of every month to avoid late payment charges.

  3. The user agrees that the rental period for a particular month expires on the 31st or the last day of that particular month and the next rental period begins from the 1st of every month. The period from the 1st day of a month to the 5th day is just a waive off period provided by the company and hence, the rent should be paid by the 1st of every month.

  4. The Company has presented a table filled with detail In case of delay in rent payment. If the user agrees to pay the rent within the designated date i.e: 1st of every month to 5th of every month, no fine shall be levied on the user. The penalty charges of Rs. 100 will be levied from 6th If rent remains unpaid until the 10th of the month. In the event the rent has not been paid even after the 10th day of a particular month, Rs. 100/ day until the day of rent payment shall be levied on the user. This calculation shall be done automatically through the platform. In the event that the resident does not pay the rent, the amount shall be deducted from the security deposit provided. If the security deposit has been depleted and still the resident has not provided the rent amount, then the establishment shall have no ption but to mandatorily vacate the resident from the establishment.

  5. Cozy Stay resident agrees that maintenance issues may occur while paying rent online. In the event of this occurring, the users have to intimate the same to the Company through email to support@cozystay.app and if no email has been submitted, it shall be considered as fine payment levied in the event, it is the last day to pay rent without fine. The user agrees to indemnify the Company if any such technical issues arise during the process of payment of rent.

    For example: If X pays the rent before 5th of every month or on the 5th of every month, he shall not have to pay any kind of fine. However, if X pays the rent on 6th or in between 10th , then it will be displayed in his calculation that he will have to pay not only the rent but also an extra Rs.100 as fine.

    In an unfortunate circumstance, X was not able to pay the rent even after the 10th of a particular month. Due to this issue, he shall have to pay a fine of INR 100 that was due by him because he had not paid the rent in between 6th -10th of that respective month + INR 100/ day for all days the rent has been missed + the base rent. This will be the total that X will have to bear in the event of non-payment or delay of payment.

  6. In the event the user has not paid the rent for 15 days in a month, he/she shall be evicted from society, the amount for 15 days will be deducted from the security deposit and rest will be returned to the resident. The resident shall not be allowed to enter the property until and unless a renewed payment has been submitted by the user.
  7. As Cozy Stay users you have the option to either pay for 1 month, 3 month or 6 months. In the event a user vacates before the end of their rental period, the amount shall be deducted in the following methods. Examples are as follows:

  8. Cozy Stay would like to inform you that in no way whatsoever is the rent adjustable. At any given point of time during the guests' stay, the rent cannot be adjusted from the Standard rate and hence such request shall not be accepted or considered.

  9. The users shall abide by the rules of cozy stay and shall only make payment through the online platform. Cozy Stay follows a completely online system and does not accept any offline payment. Cozy Stay shall not accept offline payment and must not give this amount to any representative of Cozy STay. We have given strict instruction as to not accept any offline payments and this has to be adhered to by the users as well.

  10. Electricity and Common Area Utility (CAU) charges, if applicable, are payable monthly and will be billed along with rent. The CAU charges ensure that utility expenses of common premises is apportioned as per actuals to all the residents of the property.

  11. Allocation of bed or room for any booking will be at the discretion of Coziiiy Stay. Cozy Stay reserves the right to shift guests to other rooms in the same property if space is available.
  12. In case Cozy Stay needs to revise the rentals at your property due to unavoidable circumstances, the resident will be informed prior to the revision. These rates are non-negotiable and it is up to the discretion of the resident if they wish to continue or leave the residence.

Family and Friends Guest booking

  1. In the event friends or family wishes to stay at Cozy Stay, you may book accommodations through the online platform in the designated option available on Cozy Stay. The booking should be done prior to 7 days of arrival or friend or family. The allotment of rooms shall be done as per the availability.
  2. i.e; if rooms are available on sharing basis, they shall be allotted in the same room as the resident and if that is not available another single room or sharing room shall be allotted.
  3. The guest shall be able to stay for a maximum of 5 days and shall be chargeable on a per-day basis. This can be paid through the Cozy Stay platform.
  4. The users should note that Cozy Stay shall deny access with the biometric system in the event rent has not been paid by the 5th of each month. To resume entry, the rent shall have to be paid through the online Cozy Stay platform.

Vacate Request:

Cozy Stay is an IoT enabled co-living platform and in doing so very little human interaction is witnessed here. Hence the User agrees that all processes shall be executed online through the web application or app ("The Platform"). The users agree that any vacate requests shall be made only through the online platform. Users agree to issue vacate requests 15 days prior to vacating. Users also agree that rent for the extra 15 days shall be accrued as well.

1. A resident needs to raise the move-out request mandatorily through the Cozy Stay Web application or app within a minimum of 15 days prior to the move-out date irrespective of stay duration.

2. Any request to extend the stay or cancel the move-out request has to be made a minimum of 7 days prior to the move-out date through the Cozy Stay platform only. Extending the same shall require that the resident deposit a rent through the cozy stay web application or app.

3. The Company shall have the right to evict users from the property in the event of the following occurring:

A. If a user creates conflict with the Cozy Stay team while residing at the property.

B. If the user has any criminal cases registered upon him/her

C. If the user is a threat to other residents due to mental instability.

Service Policy

The services shall not be charged within 5 days of customer’s check-in to the property, any service complaints received after 5 days shall be chargeable as given below:


  1. All services with cost estimate not exceeding Rs 1,000/- shall be intimated to the customer, the same shall be added to the customer’s invoice in the subsequent month.
  2. Services with cost estimates exceeding Rs 1,000/- shall be done with prior approval of customer, the cost shall be borne by the customer. The apportioned cost shall be added to the customer’s invoice in the subsequent month.
  3. Mattress replacement:
    Upon receiving the request for replacement of the mattress, Cozy stay shall seek approval of the customer for the cost of the mattress. The cost shall be borne by the customer. Upon receiving the written confirmation over mail from the customer, Cozy stay shall be providing the new mattress within 7 working days. The approved amount shall be added to the customer’s invoice in the subsequent month.

The Service charges paid by the customers include the following:

  1. Basic cable package (applicable to specific room categories)
  2. Common Area Maintenance
  3. Basic accommodation
  4. Bathroom facilities, electricity and water

The Service charges paid by the customer does not cover the following:

  1. Refilling of gas cylinders / Stove repairs(if requested)
  2. Electrical /Plumbing/Carpentry repairs (if requested)
  3. Bulb replacement
  4. Geyser repair
  5. Home Appliances repair
  6. Additional duplicate keys
  7. Additional wardrobes
  8. Furniture repairs
  9. Soft furnishings

Complimentary Amenities:

1. Clubroom
2. Exercise equipment
3. Washing machine and dryer
4. Gate access and security
5. Wifi
6. Workspace and adjoining services
7. Service requests shall be approved and solved in accordance with the Cozy Stay Housing Policy. To know more check out our housing policy.
8. In the event, the company deems it necessary that any of the complimentary amenities be rescinded it shall be at the sole discretion of the company. We kindly request that you cooperate if such an event occurs due to any issues with regards to failure of an outside vendor.
9. Any updates to this shall be notified through an email by Cozy Stay or update you while you visit the cozy stay website.
10. If residents have any complaints at all they can first escalate it through the website and resolve the issue. In the event it has not been resolved as of yet, the resident can escalate to our support team at supports@cozystay.co.in


Wifi:


8.1 Cozy Stay is an IoT enabled coliving facility and shall provide wifi facilities to residents living there. Users can generate their wifi passwords through the online platform after signing in. The user agrees that he/she is aware that the wifi password shall expire by the end of every month.
8.2 The user agrees that he/she shall be eligible for 2 coupons for utilizing the wifi. 1 will be allotted for a device such as a laptop or a tab and the other shall be allotted for using wifi on the mobile phone. In the event extra coupons are required, the user agrees to pay an extra amount through the platform to avail of this facility.
8.3 In the event there are any technical issues with regards to the wifi, Cozy Stay shall make sure to resolve the issue as soon as possible.

Cozy Registration:


To sign up for the Services, you may be required to register for an account on the Services (an “Account”). You must provide accurate and complete information and keep your Account information updated. You shall not:

(i) select or use as a username a name of another person with the intent to impersonate that person;

(ii) use as a username a name subject to any rights of a person other than you without appropriate authorization; or

(iii) use, as a username, a name that is otherwise offensive, vulgar, or obscene. Your Account information may include information that is personal to you, such as your name, email address, and phone number (collectively, “personal details”). You may only provide your own personal details. You may not provide personal details of any third person. You must update your Account information to reflect any change to your personal details. If at any time any portion of your Account information is inaccurate or incomplete, or if you otherwise violate these Terms and Conditions, we may in our sole discretion and without advance notice choose to suspend or terminate your access to Services, your Account, or both. You are solely responsible for the activity that occurs on your Account, and for keeping your Account password secure. You may never use another person's user account or registration information for the Services without permission. You must notify us immediately of any change in your eligibility to use the Services, breach of security, or unauthorized use of your Account. You should never publish, distribute or post login information for your Account. You shall have the ability to delete your Account by sending a request to ceo@cozystay.com.

The Site, Application, and Services may contain links to third-party websites or resources. You acknowledge and agree that Cozy Stay is not responsible or liable for:

(i) the availability or accuracy of such websites or resources; or

(ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Cozy Stay of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources or the Content, products, or services on or available from such websites or resources.


Feedback


We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Site, Application, and Services ("Feedback"). You may submit Feedback by emailing us at ceo@cozystay.com or through the Contact section of the Site and Application. You acknowledge and agree that all Feedback will be the sole and exclusive property of Cozy Stay and you hereby irrevocably assign to Cozy Stay and agree to irrevocably assign to Cozy Stay all of your right, title, and interest in and to all Feedback, including without limitation all worldwide patent, copyright, trade secret, moral and other proprietary or intellectual property rights therein. At Cozy Stay’s request and expense, you will execute documents and take such further acts as Cozy Stay may reasonably request to assist to acquire, perfect, and maintain its intellectual property rights and other legal protections for the Feedback.


Copyright Policy


Cozy Stay respects copyright law and expects its users to do the same. It is Cozy Stay’s policy to terminate in appropriate circumstances the Cozy Stay Accounts of Members or other account holders who repeatedly infringe or are believed to be repeatedly infringing the rights of copyright holders.


Prohibited Uses:


By using our website, you agree on behalf of yourself, your users, and your attendees not to

A. modify, prepare derivative works of, or reverse engineer our services,

B. knowingly or negligently use our services in a way that abuses or disrupts our networks, user accounts, or the Service

C. Transmit through the website any harassing, indecent, obscene, fraudulent, or unlawful material.

D. Market or resell the Services to any third party

E. Use the services in violation of applicable laws or regulations.

F. Use the Services to send unauthorized advertising or spam

G. harvest, collect, or gather user data without their consent

H. Create any material that may infringe the intellectual property, privacy, or other rights of a third party.


Site Management:


We reserve the right, but not the obligation, to:

(1) monitor the Site for violations of these Terms and Conditions;

(2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms and Conditions, including without limitation, reporting such user to law enforcement authorities;

(3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof;

(4) in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems;

(5) otherwise, manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.

Cancellation:


We may, in our discretion and without liability to you, with or without cause, with or without prior notice and at any time:

(a) terminate these Terms or your access to our Site, Application, and Services, and

(b) deactivate or cancel your Cozy Stay Account. Upon termination, we will promptly pay you any amounts we reasonably determine we owe you in our discretion, which we are legally obligated to pay you. In the event, Cozy Stay terminates these Terms, or your access to our Site, Application, and Services or deactivates or cancels your Cozy Stay Account you will remain liable for all amounts due hereunder. You may cancel your Cozy Stay Account at any time via the "Cancel Account" feature of the Services or by sending an email to ceo@cozystay.com. Please note that if your Cozy Stay Account is canceled, we do not have an obligation to delete or return to you any Content you have posted to the Site, Application and Services, including, but not limited to, any reviews or Feedback.


Eviction

Cozy Stay has a strict no-tolerance policy and violence is condemned by Cozy Stay. If the individuals engage in any kind of violence exacts, insulting or insinuating something horrible towards the Cozy Stay staff members, immediate action shall be taken against them.
Any security deposit or extra rent payments shall not be refunded in such an event and if the company deems it necessary, a compensation amount may have to be given by you. The amount shall be decided on a case to case basis and in the case of extensive damage as per reports by the company representative, the company shall charge 2x cost in damages and may initiate legal proceedings for the same.


Limitation Of Liability


You are solely responsible for your interactions and arrangements with other individuals, including users and Members. We make no representations or warranties as to

(i) the conduct of users or Members,

(ii) users’ or Members’ compatibility with current or future Members, including fellow Cozy Stay residents or neighbors, or

(iii) any information concerning any activities or arrangements suggested by users or Members. In no event shall we, nor our directors, employees, agents, partners, suppliers, or content providers, be liable under contract, tort, strict liability, negligence, or any other legal or equitable theory with respect to the services (i) for any damages arising out of or relating to your or anyone else’s conduct in connection with the services, including, without limitation bodily injury, emotional distress and any damages resulting in any way from communications, meetings, activities or arrangements with users, members or persons you may otherwise meet through the services, (ii) for any lost profits, data loss, cost of procurement of substitute goods or services, or special, indirect, incidental, punitive, compensatory or consequential damages of any kind whatsoever (however arising), (iii) for any bugs, viruses, Trojan horses, or the like (regardless of the source of origination). You agree to take reasonable precautions and exercise the utmost personal care in all interactions with other users or Members or any other individual you come into contact with through the Services, particularly if you decide to meet such users, Members or individuals in person. You understand and agree that we make no guarantees, express or implied, regarding your compatibility with users, Members, or other individuals you meet through the Services, including any fellow Cozy Stay residents or neighbors. For example, you should not, under any circumstances, provide your financial information (e.g., credit card or bank account numbers) to other individuals. We strongly advise you to use the utmost caution before sharing any personally identifiable information with others, including users and Members. We do not and cannot assure you that it is safe for you to have direct contact with any other individual that you come into contact with through the Services. If you believe that any individual is harassing you or is otherwise using personal information about you for unlawful purposes, we encourage you to first inform local law enforcement authorities, and then to contact us at ceo@cozystay.com so that we may take appropriate action.


Indemnification


You shall defend, indemnify, and hold harmless us, our affiliates and each of our and their respective employees, contractors, directors, suppliers, and representatives from all liabilities, claims, and expenses, including reasonable attorneys’ fees, that arise from or relate to your use or misuse of, or access to, the Services, Content, violation of these Terms and Conditions, or infringement by you, or any third party using your Account or identity in the Services, of any intellectual property or other rights of any person or entity. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with us in asserting any available defenses.


Modifications And Interruptions:


We reserve the right to change, modify, or remove the contents of the Site or application at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Site without notice at any time. We cannot guarantee the Site will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Site or mobile application, resulting in interruptions, delays, or errors.

We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime or discontinuance of the Site.

Nothing in these Terms and Conditions will be construed to obligate us to maintain and support the Site or to supply any corrections, updates, or releases in connection therewith.


Governing Law:


These Terms and Conditions and your use of the platform are governed by and construed in accordance with the laws of India. Any dispute arising between the Parties in respect of this Agreement shall be subject to the exclusive jurisdiction of courts in Cochin, Kerala.


Dispute Resolution:


If any dispute arises between the Parties hereto during the subsistence of this Agreement or thereafter, in connection with the validity, interpretation, implementation or alleged material breach of any provision of this Agreement or regarding a question, including the questions as to whether the termination of this Agreement by one Party hereto has been legitimate, both Parties hereto shall endeavor to settle such dispute amicably. If the Parties fail to bring about an amicable settlement within a period of thirty (30) days, either Party to the dispute may give ten (10) days notice of invocation of dispute settlement to the other party. The Parties hereto shall submit to such, a mediation award which will be enforceable in the court of law.


Corrections:


There may be information on the platform that contains typographical errors, inaccuracies, or omissions that may relate to the platform, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.

The Cozy Connect terms and conditions constitute a legally binding agreement between the Partner and Cozy Colive Concept Pvt. Ltd (Hereinafter referred to as the "Company") governing the access and use of the Cozy Stay website, including any subdomains thereof, and any other websites through which the company makes the Cozy Stay services available through all platforms including mobile, tablet, and other smart device application, and property section application program interfaces and all associated services (Collectively "The Platform"). The site, application and Cozy Stay services together are hereinafter collectively referred to as Cozy Stay Platform. The user can select bookings at third party establishments through the Cozy Connect application.Your use of the Site, Application and/or agreement signed (either electronically or otherwise) is an acknowledgement that you have reviewed the terms and conditions and agree to comply with these website T&C. By using the service you are indicating that you have read these terms of use and our privacy policy (as applicable) (collectively the “Agreement”) and you understand, and you consent to be bound by, all the terms and conditions of this agreement. These terms of use set forth your rights and obligation with respect to your use of any version of the Cozy Stay service. Title and interest in the Services, our name, logo or other markers, and any related intellectual property rights, including, without limitation all modifications, enhancements, derivative works, and upgrades thereto. You agree that you will not use or register any trademark, service mark, business name, domain name, or social media account name or handle which incorporates in whole or in part proprietary material or similar to any of these.

Cozy Connect Services

Web/ App listing: Cozy Stay is a pan India based coliving platform and through our services, properties can be listed and revenue can be accrued from thereon.

Limited liability

​​COZY CONNECT acts as a facilitator and aggregator of bookings and merely provides an online platform to the User to select and book a particular PG. PGS or hostels in this context includes all categories of accommodation such as , home-stays, bed and Apartments and any other alternate accommodations.

All the information pertaining to the property including the category of the PG, images, room type, amenities and facilities available at the Property are as per the information provided by the respective property owners or representative of respectives Properties to COZY STAY. This information is for reference only. Any discrepancy that may exist between the website pictures and actual settings of the Property shall be raised by the User with the Property directly, and shall be resolved between the User and the Property . Cozy Colive Concept Pvt Ltd sall be indemnified from any kind of obligation and shall have no responsibility in that process of resolution, and shall not take any liability for such discrepancies.

Information Sharing and Terms of the Property

A. GUIDANCE

Cozy Stay shall endeavor to provide operational guidance for owners and their representatives to ensure maximum conversion of customers and clients.

B. Rent schemes:

Cozy Stay, through Cozy Connect, provides the freedom to decide the rental scheme for the property listed within the site.

C. Guest convenience

Cozy Stay does not restrict the owner from setting up the product model. The owner may make the property single, double, unisex or even couple friendly.

Listing

As per the policies of Cozy Connect, the company shall not be levying any kind of charge for joining. However, Cozy Stay shall be provided a service charge for rendering services with respect to the console, listing of property on the website and other services provided to you by Cozy Stay.

Terms of Operation

Cozy Stay shall list the property on its platform subject to following of these terms of operation

4.1

Cozy STay grants to the partner during the term and subject to the T&C hereof the permission to

i). Utilize the Know - How and
ii). be listed on Cozy Stay platform, to market or promote bookings by associating with the mark "Cozy Connect ".
iii). Accept service requests and complaints through the Cozy Stay app or through any other mode of communication. Cozy Stay shall endeavor to inform the concern to the property . Cozy Stay shall be excluded from any responsibility of the property, and shall only act as an aggregator or facilitator for passing on the complaint from the user’s end.

4.2

The Partner acknowledges that in order to facilitate the completion of Cozy Stay's obligations under the Agreement and other similar agreements, Cozy Stay has the right to list the Partner within its network. The Partner shall provide its services to the residents independently as per the operating standards that have to be mentioned in documents to be signed afterwards as prescribed by Cozy Stay (whether attracted through Cozy Stay Platform or otherwise). The Partner shall be solely responsible for providing the residential accommodation services to the residents. Once a booking has been confirmed to a resident on Cozy Stay Platform, the Partner is under an obligation to honor such booking. In the event, the Partner is unable to honor the booking for any unforeseeable circumstances, the Partner shall provide alternate accommodation of comparable standards failing which a penalty of cost of alternate accommodation provided by Cozy Stay – whichever is higher, will be charged.

4.3

The Partner agrees that Cozy Stay has an absolute right over the customer information that has been generated through the services, and this customer data is and shall be used by the company for research and analysis purposes for providing more sufficient and efficient services to clients and customers.

Booking through Cozy Connect

5.1

Cozy Stay, a venture of Cozy Colive Concept Pvt. Ltd shall act as a facilitator and merely provides an online platform to the User to select and book a particular accommodation. Accommodations in this context shall include hostels, PGs, Couple friendly residences, apartments and sharing PGs.

Responsibilities of the user

6.1

Cozy Stay is a facilitator for the accommodation. The User would be liable to make good any damage(s) caused by any act of him/ her/ or their accompanying guests (willful/negligent) to the property of the accommodation in any manner whatsoever. The extent and the amount of the damage so caused would be determined by the concerned accommodation. Cozy Stay would not, in any way, intervene in the same.

6.2

The User has to be in possession of a valid identity proof and address proof, at the time of joining. The accommodation shall be within its rights to deny check-in to a User if a valid identity proof is not presented at the time of check-in.

6.3

Check-in DATE AND time, check-out DATE AND time, and any changes in those timings, will be as per Property policy & terms. Early check-in or late check-out dates request is subject to availability and the property may charge an additional fee for providing such services.

Payment for Bookings

Booking of a room or property can either be "Prepaid", or "Paid in advance " as per the options made available by a property on the Website of COZYSTAY.

In "Prepaid" model, the total booking amount is paid by the User at the time of booking itself. Such total booking amount includes the hotel reservation rate, taxes, service fees as may be charged on behalf of the actual service provider, and any additional booking fee or convenience fee charged by COZYSTAY.

At the PROPERTIE's or COZYSTAY's sole discretion on case to case basis, the User may also be provided with an option to make a part payment to COZYSTAY at the time of confirmation of a booking. The balance booking amount shall be paid as per the terms of the bookings.

Some accommodation suppliers may require User and/or the other persons, on behalf of whom the booking is made, to present a credit card or cash deposit upon check-in to cover additional expenses that may be incurred during their stay. Such deposit is unrelated to any payment received by COZYSTAY and solely at the behest of the PROPERTY.

Regular and Additional Payments

8.1

The accommodation can be done as per the PG or Hostels preferences. At the accommodation's discretion on a case by case basis, the User may also be provided with an option to make a part payment to Cozy STay at the time of confirmation of a booking. The balance booking amount shall be paid as per the terms of the bookings. For security purposes, the User must provide Cozy STay with correct credit or debit card details. Cozy Stay may cancel the booking at its sole discretion in case such bank or credit card details as provided by the User are found incorrect.

8.2

Payment can only be made in INR and not in any other foreign currency until and unless specified.

8.3

Some banks and card issuing companies charge their account holders a transaction fee when the card issuer and the merchant location (as defined by the card brand, e.g. Visa, MasterCard, American Express) are in different countries. If a User has any questions about the fees or any exchange rate applied, they may contact their bank or the card issuing company through which payment was made.

8.4

The booking amount paid by the User is only for stay at the property . Some bookings may include Mess and/ or meals as confirmed at the time of booking. Any other services utilized by the User at the Property , including laundry, room service, internet, telephone, extra food, drinks, beverages etc. shall be paid by the User directly to the Property.

Confidentiality

All documents, instructions, details collected under the Agreement including the residents’ personal data, brand standards, operating standards, technology, systems, training manuals, financial details, terms of the Agreement, account and sales information etc. shall be considered as secret and confidential information and the Partner undertakes not to copy or disclose any of its contents or concepts to any other party and not to make any direct or indirect use thereof except as required for due performance under the Agreement. The Agreement is confidential in nature and shall not be disclosed by the Parties to any other third person except as otherwise required by law. During the performance of its obligations under the Agreement, the Partner and its employees, officers, agents, proprietors, directors, shareholders, stakeholders (“Representatives”) may have access to Confidential Information of Cozy Stay, which shall be kept fully confidential by the Partner and its Representatives.The Partner shall execute necessary non-disclosure agreement with its Representatives and take any other steps that it would reasonably take to protect such confidential information. The obligation under this provision shall survive termination or expiration of the Agreement.

Guest Privacy

Keeping in line with global standards of data protection, security and integrity, Cozy Stay has made significant investment in our systems, training and people and are revising our policies to have in place robust safeguards around data you collect through you and updating our guest privacy policies and standards.

Cozy Stay executives agree that all information pertaining to the guests shall be provided to the property and the partner agrees that all this information shall be the intellectual property of Cozy Colive Concept Pvt. Ltd and shall be used for research, marketing and promotional purposes as per prevalent laws in the country.

Operating Standards

The company may prescribe operating standards as per the eligibility of the property. The partner agrees to indemnify and to hold not liable COzy Stay or any of its representatives from any kind of issues relating to the property in any way whatsoever.

Internet Traffic

As a result of high internet traffic, transmission problems, system capacity limitations and other problems, you may at times, experience difficulty in accessing the Website or communicating with us through the internet or other electronic or wireless device. Any computer system or other electronic/mobile device used to access the Website can experience unanticipated outages or slowdowns, or have capacity limitations. Cozy stay does not guarantee continuous, uninterrupted or secure access to its Website.

Prohibited Uses

A. modify, prepare derivative works of, or reverse engineer our services,
B. knowingly or negligently use our services in a way that abuses or disrupts our networks, user accounts, or the Service
C. Transmit through the website any harassing, indecent, obscene, fraudulent, or unlawful material.
D. Market or resell the Services to any third party
E. Use the services in violation of applicable laws or regulations.
F. Use the Services to send unauthorized advertising or spam
G. harvest, collect, or gather user data without their consent
H. Create any material that may infringe the intellectual property, privacy, or other rights of a third party.

Site management

We reserve the right, but not the obligation, to:

(1) monitor the Site for violations of these Terms and Conditions;
(2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms and Conditions, including without limitation, reporting such user to law enforcement authorities;
(3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof;
(4) in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems;
(5) otherwise, manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.

Indemnification

You shall defend, indemnify, and hold harmless us, our affiliates and each of our and their respective employees, contractors, directors, suppliers, and representatives from all liabilities, claims, and expenses, including reasonable attorneys’ fees, that arise from or relate to your use or misuse of, or access to, the Services, Content, violation of these Terms and Conditions, or infringement by you, or any third party using your Account or identity in the Services, of any intellectual property or other rights of any person or entity. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with us in asserting any available defenses.

Force Majeure

Colive shall not be liable for any loss or liability resulting, directly or indirectly, from delays or interruptions due to electronic or mechanical equipment failures, telephone/internet interconnect problems, defects, weather, strikes, walkouts, fire, acts of God, riots, armed conflicts, acts of war, or other like causes. Colive shall have no responsibility to provide you access to our Website whilst such unforeseen delays or interruptions continue.

Modifications and interruptions

18.1

We reserve the right to change, modify, or remove the contents of the Site or application at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Site without notice at any time.

18.2

We cannot guarantee the Site will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Site or mobile application, resulting in interruptions, delays, or errors.

18.3

We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime or discontinuance of the Site.

18.4

Nothing in these Terms and Conditions will be construed to obligate us to maintain and support the Site or to supply any corrections, updates, or releases in connection therewith.

Governing law

These Terms and Conditions and your use of the platform are governed by and construed in accordance with the laws of India. Any dispute arising between the Parties in respect of this Agreement shall be subject to the exclusive jurisdiction of courts in Cochin, Kerala.

Dispute Resolution

If any dispute arises between the Parties hereto during the subsistence of this Agreement or thereafter, in connection with the validity, interpretation, implementation or alleged material breach of any provision of this Agreement or regarding a question, including the questions as to whether the termination of this Agreement by one Party hereto has been legitimate, both Parties hereto shall endeavor to settle such dispute amicably. If the Parties fail to bring about an amicable settlement within a period of thirty (30) days, either Party to the dispute may give ten (10) days notice of invocation of dispute settlement to the other party. The Parties hereto shall submit to such, a mediation award which will be enforceable in the court of law.

Corrections

There may be information on the platform that contains typographical errors, inaccuracies, or omissions that may relate to the platform, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.
